Terms and Conditions

TheClipEditor PRO · Last updated: October 8, 2026

Company/Platform: TheClipEditor PRO, operated by Druta Systems ("we", "our", "us") · User: You ("User", "Subscriber", "Creator") · See also our Privacy Policy.

Welcome to TheClipEditor PRO. By accessing or using our web-based video editing platform and payment services, you agree to be legally bound by these Terms and Conditions. Please read them carefully.

1. Acceptance of Terms

By creating an account using Google OAuth, syncing projects to our cloud, or making a payment via Razorpay, you confirm that you are at least 18 years old (or have legal parental/guardian consent) and accept these terms in full. If you disagree with any part of these terms, you must discontinue use of the platform immediately.

2. Intellectual Property & User-Generated Content (UGC)

  • Your Content Remains Yours: You retain full ownership of all raw footage, clips, audio, text, and media you open in TheClipEditor PRO (“User Content”).
  • No Upload, No Licence Needed: Editing, rendering and export all happen inside your browser, on your own machine. We do not receive, host or store your media, so you grant us no licence over it. The one exception is Auto Subtitles: if you choose to use it, the audio track your browser extracts is sent to OpenAI to be transcribed, and you grant us only the permission needed to pass that audio on for that purpose. See our Privacy Policy.
  • Copyright & Legal Compliance: You explicitly warrant and represent that you own all rights—or have obtained all necessary licenses/permissions—to the content and background music you edit. We have a zero-tolerance policy for copyright infringement. If you use pirated, unauthorized, or illegal copyrighted material, you assume 100% legal liability, and we hold no responsibility.

3. Subscriptions, Payments & Refund Policy

  • Pricing & Processing: All financial transactions, upgrades, and Pro subscriptions are securely processed through our authorized payment gateway partner, Razorpay.
  • Taxes & Billing: You agree to provide accurate billing details. Plan prices are subject to change with prior notice on the website; a change never alters the price of a period you have already paid for.
  • Cancellation & Refunds: Plans are billed per 30-day period and do not renew automatically, so there is nothing to cancel - a plan simply ends unless you buy another period. Because paid features are unlocked instantly on payment, payments are non-refundable once the plan is active, except where refunds are required by applicable consumer protection law or where you were charged and the plan was not activated. If you believe you were charged in error, write to the Grievance Officer listed below and we will investigate and refund where due.

4. Acceptable Use Policy

You agree not to use TheClipEditor PRO to create, upload, or export content that:

  • Violates any local, national, or international laws.
  • Contains explicit hate speech, harassment, graphic violence, non-consensual sexual content, or CSAM.
  • Infringes upon third-party trademarks, patents, or trade secrets.
  • Attempts to hack, reverse-engineer, overload, or disrupt our cloud servers, APIs, or database security.
  • Violation Consequence: We reserve the right to immediately suspend or permanently ban any account found violating these rules, without prior notice or refund.

5. Limitation of Liability & Data Responsibility

  • “As-Is” Basis: The platform is provided on an “as-is” and “as-available” basis without warranties of any kind, whether express or implied.
  • Your Projects Are Not Stored By Us: Because all editing happens in your browser, a project exists only in the tab you are working in. Pressing Save writes a copy of your project settings to that browser's own local storage on that device - it is not a backup held by us, it does not transfer to another device, and clearing site data removes it. Export anything you want to keep, and keep your own copies of your source files. We shall not be liable for any loss of project data.
  • Maximum Liability Cap: To the maximum extent permitted by law, TheClipEditor PRO's total cumulative liability for any claims arising out of your use of the platform shall not exceed the actual amount paid by you (if any) to us in the past 12 months.

6. Account Termination

You may terminate your account at any time by deleting your profile. We reserve the right to suspend or terminate access to our services immediately if we suspect fraudulent activity, security breaches, or violations of these Terms.

7. Changes to Terms

We reserve the right to modify or update these Terms and Conditions at any time. Continued use of TheClipEditor PRO after changes are posted constitutes your binding acceptance of the revised terms.

8. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Subject to Section 9 (Dispute Resolution), the courts at Delhi, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, regardless of the country you access them from.

9. Dispute Resolution

Before initiating any formal proceeding, you agree to first raise a dispute with our Grievance Officer (Section 10) and allow a reasonable opportunity to resolve it. If a dispute is not resolved within 30 days, either party may refer it to arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed by mutual agreement, seated in Delhi, India, with proceedings conducted in English. This clause does not affect any right a consumer has under applicable consumer protection law to approach a consumer forum or court directly.

10. Grievance Officer

In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the following Grievance Officer can be contacted for complaints regarding these Terms, User Content, or use of the platform:

  • Name: Rajesh Kumar Yadav
  • Designation: Grievance Officer, TheClipEditor PRO (Druta Systems)
  • Email: contact@drutasystems.com
  • We will acknowledge complaints within 24 hours and aim to resolve them within 15 days, as prescribed under the Rules.

11. Severability

If any provision of these Terms is held invalid or unenforceable by a court or arbitrator of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
